German DeepMatter to acquire InfoChem GmbH from Springer Nature - 04 Jan 2019

DeepMatter, the AIM-listed company focusing on digitising chemistry, has agreed to acquire from global publisher Springer Nature the entire issued share capital of Infochem GmbH, a specialist in cheminformatics, for a total consideration of approximately €2.0 million to be satisfied as to €0.36 million in cash and 68,400,000 new ordinary shares in the capital of the Company. The Company also announces that it intends to raise a minimum of £3.0 million by way of a proposed placing of New Ordinary Shares at a price of 2.5 pence per share.

Founded in 1989, Infochem is based in Munich, Germany, and is owned by Springer-Verlag GmbH, part of the Springer Nature and has 25 employees. It has extensive scientific expertise and a long tradition in developing successful software solutions for handling retrieval, structures and reactions. Its established base of users is in the same industries as those being targeted by the Company.

In the Directors' opinion, the acquisition will accelerate the Company's strategy by providing cost effective access to established data sources and chemical information software tools, assisting in the accelerated development of the DigitalGlassware™ platform, as well as providing specialist staff, recurring revenues and an additional sales channel.

The total consideration payable for the acquisition of approximately €2.0 million comprises a payment in cash of €0.36 million and the issue of the Consideration Shares (comprising 25,600,000 Initial Consideration Shares and 42,800,000 Deferred Consideration Shares). Given that Infochem will have €0.48 million of cash on its balance sheet, the acquisition will be a net cash positive deal for DeepMatter.

The Enlarged Group will be strengthened both technically, operationally and financially as it focuses on building credibility, awareness and understanding of the DigitalGlassware™ platform before rolling it out in full to the broader scientific community.

Bettina Goerner, Managing Director Database Research Group at Springer Nature, will be appointed to the DeepMatter board as a Non-Executive Director, with effect from completion, strengthening the relationship between the two companies.

US Taco van der Maten begins term as ASTM International Board Chairman - 04 Jan 2019

Taco van der Maten, marketing manager for Malvern Panalytical, in Almelo, The Netherlands, has started his term as 2019 chairman of the ASTM International board of directors.

ASTM International's board is made of 25 leaders from a variety of companies, associations, universities, government bodies, and other organisations around the world. For example, its incoming cohort of board members represents Knauf Middle East, Norway's SINTEF Manufacturing, the General Aviation Manufacturers Association, Purdue University, American Geosciences Inc., and the Biotechnology Innovation Organization.

Taco van der Maten has been with Malvern Panalytical since 2006, having previously served as a research analyst, laboratory information management system (LIMS) implementer, IT service delivery manager, and business development manager with DSM Resolve. Prior to that, he was a research analyst with Heineken.

An ASTM International member since 2006, van der Maten is chairman of the committee that creates standards related to declarable substances in materials (F40). He is also a member of the committees on petroleum, liquid fuels, and lubricants (D02), plastics (D20), and catalysts (D32).

He served as a vice chairman of the board from 2017 to 2018. In addition, he served as the chairman of the board's finance and audit committee in 2016.

Switzerland MDPI appoints Professor Kyo-Beum Lee as Section Editor-in-Chief of Power Electronics - 04 Jan 2019

Academic open-access publisher Multidisciplinary Digital Publishing Institute (MDPI) has appointed Professor Dr. Kyo-Beum Lee as a Section Editor-in-Chief of 'Power Electronics' in Electronics. Professor Lee's term started in January 2019.

Professor Lee's research interests include electric machine drives, renewable power generation, and electric vehicle applications. He is an Associated Editor of the IEEE Transactions on Power Electronics, the IEEE Transactions on Industrial Electronics, the Journal of Power Electronics, and the Journal of Electrical Engineering and Technology.

In his earlier assignments, he was with the Institute of Energy Technology at Aalborg University, Denmark, from 2003 to 2006. Later, he was with the Division of Electronics and Information Engineering, Chonbuk National University, Jeonju, South Korea from 2006 to 2007. In 2007, he joined the Department of Electrical and Computer Engineering, Ajou University.
