SPARC to transition to independent nonprofit status effective June 1 -

SPARC will officially become an independent nonprofit organization on June 1, 2025, transitioning from its current status as a fiscally sponsored project of the New Venture Fund. The organization has completed incorporation as a charitable nonprofit in Washington, DC, and has submitted an application for 501(c)(3) tax-exempt status. While awaiting a determination from the IRS, anticipated in six to eight months, SPARC will operate as a nonprofit organization with tax-exempt status pending.

SPARC has secured professional employment services through XcelHR, which will handle human resources, payroll, benefits, and compliance. The organization has also arranged accounting and legal services to support its financial and operational needs.

Funds from membership dues and certain grants will be transferred immediately to the new SPARC entity. However, for grants requiring an existing 501(c)(3) status, funds will temporarily be held by the Global Fairness Initiative (GFI) until SPARC’s tax-exempt status is confirmed. Once the status is approved, these funds will be moved to SPARC, and the agreement with GFI will conclude.

As part of its new structure, SPARC has established an inaugural Board of Directors composed of four members: Emily Gore, Yasmeen Shorish, April Hathcock, and Heather Joseph. This Board will oversee fiscal governance, while the Steering Committee, elected by SPARC members, will continue to guide the organization’s strategic direction.

SPARC will maintain its current Articles of Governance, which the Board of Directors has adopted as provisional Bylaws. A review and revision process, in collaboration with the Steering Committee, will take place over the coming months to ensure that the Bylaws align with community-led transparency and governance best practices. Revised Bylaws are expected to be presented to the Steering Committee for ratification at its October meeting.

While the transition process will continue over the next few months, no significant impact is expected on SPARC’s member programs or services. The organization is committed to regular evaluations to ensure the effectiveness of its operations throughout this period.

SPARC acknowledges the significant contributions of the Steering Committee, Spin Out Subcommittee, and the New Venture Fund team in facilitating this transition. The organization looks forward to beginning this new phase as an independent nonprofit dedicated to supporting the scholarly community.
